1. Acceptance of Terms
By accessing or using any services provided by Hridh Enterprise ("Company," "we," "us"), you agree to be bound by these Terms of Service. If you do not agree to these terms, do not use our services. These terms apply to all visitors, users, and clients.
2. Services Description
Hridh Enterprise provides enterprise IT services including custom software development, database solutions, application development, managed IT services, cloud infrastructure, and cybersecurity services. Specific service terms are detailed in individual service agreements (Statements of Work).
3. Client Responsibilities
As a client, you agree to:
- Provide accurate and complete information necessary for service delivery
- Maintain the security of your account credentials
- Comply with all applicable laws in your use of our services
- Provide timely feedback and approvals as outlined in project agreements
- Pay all fees in accordance with agreed payment terms
4. Intellectual Property
Unless otherwise specified in a separate agreement: (a) All pre-existing intellectual property remains the property of its respective owner. (b) Custom-developed deliverables become client property upon full payment. (c) We retain the right to use general knowledge, skills, and experience gained during engagements. (d) Our proprietary frameworks, tools, and methodologies remain our property.
5. Payment Terms
Payment terms are specified in individual service agreements. Unless otherwise stated: invoices are due within 30 days of issue; late payments accrue interest at 1.5% per month; we reserve the right to suspend services for overdue accounts exceeding 60 days.
6. Service Level Agreements
Specific SLAs (uptime guarantees, response times, resolution targets) are defined in individual service agreements. SLA credits are the exclusive remedy for SLA failures unless otherwise specified.
7. Confidentiality
Both parties agree to maintain the confidentiality of proprietary information shared during the engagement. This obligation survives termination for a period of 3 years. Standard exceptions apply for publicly available information and information required to be disclosed by law.
8. Limitation of Liability
To the maximum extent permitted by law: (a) Our total liability shall not exceed the fees paid by you in the 12 months preceding the claim. (b) We are not liable for indirect, incidental, consequential, or punitive damages. (c) We are not liable for failures caused by force majeure events, third-party services, or client-provided systems.
9. Warranties
We warrant that: services will be performed in a professional manner consistent with industry standards; deliverables will substantially conform to agreed specifications for 90 days post-delivery; we will comply with all applicable laws. ALL OTHER WARRANTIES, EXPRESS OR IMPLIED, ARE DISCLAIMED.
10. Termination
Either party may terminate with 30 days written notice. We may terminate immediately for non-payment or material breach. Upon termination, you retain ownership of paid-for deliverables. We will provide reasonable transition assistance.
11. Indemnification
You agree to indemnify Hridh Enterprise against claims arising from: your violation of these terms; your use of our services in violation of applicable laws; your infringement of third-party intellectual property rights through materials you provide.
12. Governing Law
These terms are governed by the laws of Gujarat, India. Any disputes shall be resolved through binding arbitration in Vadodara, Gujarat, or in the courts of Vadodara, Gujarat.
